Terms of Service

1. Eligibility & Age Requirements

To access or use BRO, you must satisfy the following eligibility criteria:

• Age of Majority: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to independently register an account, enter into binding legal agreements, and purchase paid subscriptions.
• Minors (Ages 13 to 17): Individuals who are at least 13 years of age (or the applicable minimum age of digital consent in their jurisdiction) but under the age of majority may only use BRO with the verifiable consent and under the active supervision of a parent or legal guardian who agrees to be bound by these Terms on their behalf.
• Prohibition on Children Under 13: BRO is strictly not directed to, marketed to, or intended for children under 13 years of age (or under 18 without verifiable parental consent pursuant to applicable law, including India's Digital Personal Data Protection Act, 2023). We do not knowingly permit children under 13 to register or submit personal data.
• Legal Capacity: You represent and warrant that you possess the full legal right, capacity, and authority to enter into these Terms and comply with all applicable local, national, and international laws.

2. AI Generated Output & Accuracy Disclaimer

• No Professional Advice: BRO is designed solely for conversational, educational, creative, and productivity assistance. BRO is not a certified human professional. You must never rely on BRO for medical diagnoses, therapeutic guidance, legal counsel, professional investment/financial planning, architectural engineering, or emergency response decisions.
• Independent Fact Verification: You are solely responsible for reviewing, verifying, and validating all facts, calculations, code implementations, and suggestions generated by BRO before relying upon or implementing them.

3. User Accounts, Authentication & Security

Certain features of BRO require you to create an account authenticated through our infrastructure provider (Supabase Auth).

• Accurate Information: You agree to provide accurate, current, and complete registration information and keep your email address updated.
• Credential Protection: You are entirely responsible for maintaining the confidentiality of your login credentials and authentication tokens, and for all activities conducted under your account.
• Notice of Unauthorized Use: You must promptly notify TheRidCo at bandyopadhyayridit@gmail.com if you suspect or become aware of any unauthorized access or breach of account security.
• Account Transfer Prohibited: Accounts are non-transferable and may not be sold, shared, or assigned to third parties without prior written consent from TheRidCo.

4. Product Modes & Interaction Features

Voice Services. BRO may use third-party voice technology, including Cartesia, to provide certain voice features. Voice-related inputs may be processed by these providers as necessary to provide the requested service. Speech-to-text transcription is handled natively through your client browser's Web Speech recognition capabilities, and raw microphone audio is not retained on BRO servers.

5. User-Controlled Memory & Personalization

BRO incorporates a user-directed memory architecture designed to help the companion recall relevant context, preferences, goals, and facts across conversations.

• User Authority & Control: You retain complete visibility and control over your stored memories. You can view all saved memory records, prompt BRO to remember or forget specific items, and manually edit or delete memories at any time within your settings.
• Memory Extraction: Depending on your settings, BRO may extract conversational facts automatically or upon your explicit command (e.g., “remember this”). You may disable automated memory extraction at any time in Settings.
• Deletion: Clearing your memories or deleting your account permanently purges your stored memory records from the database.

6. Subscriptions, Membership Plans & Billing

BRO offers three distinct membership tiers designed to accommodate diverse conversational and productivity needs:

• Billing Cycles & Automatic Renewal: Paid memberships (Sync and Presence) are offered on recurring monthly and annual billing cycles. Subscriptions automatically renew at the conclusion of each billing period for the same duration at the then-current applicable rate, unless cancelled prior to the renewal date.
• Payment Processing via Razorpay: All payment transactions, subscription setups, and renewals are securely processed through our third-party payment gateway partner, Razorpay (Razorpay Software Private Limited). We support payments in Indian Rupees (INR) and supported regional retail currencies. By initiating a paid subscription, you authorize Razorpay and TheRidCo to charge your selected payment method on a recurring basis. TheRidCo does not store raw credit/debit card numbers or security codes on its servers.
• Usage Quotas & Reset Cycles: Monthly text turns, voice minutes, and file attachment allocations reset on a recurring 30-day cycle. Unused allotments do not roll over to subsequent billing periods. In the event you exhaust your plan limits, requests may be capped until your cycle resets or you upgrade your tier.
• Modifications to Pricing & Plans: TheRidCo reserves the right to revise subscription fees, adjust quota limits, or introduce new features. Any price changes will be communicated in advance and will take effect upon the subsequent billing cycle. Continued use following notification constitutes acceptance.

7. Cancellation, Expiration & Failed Payments

• Self-Service Cancellation: You may cancel your recurring subscription at any time directly through your account settings. Upon confirmed cancellation, your recurring gateway billing instruction will be stopped, and your account profile will immediately return to the free BRO Signal tier.
• Failed Payments & Grace Period: If an automatic recurring renewal fails due to card expiration, insufficient funds, or gateway refusal, the subscription status will be marked as past due or paused. You will be provided an opportunity to update your payment method. If payment cannot be successfully processed, your subscription will expire and your account will automatically downgrade to the Signal plan.
• No Prorated Refunds: Subscription fees are billed in advance. Except where strictly mandated by applicable statutory consumer protection law, payments are non-refundable, and we do not provide prorated refunds or credits for partial subscription months or unused quota balances.

8. Third-Party Service Providers

To deliver high-performance, real-time multimodal intelligence, BRO relies on specialized third-party infrastructure and service providers:

• Google Cloud & Google Gemini: Core neural language modeling, text generation, and multimodal analysis.
• Cartesia: Ultra-low latency voice synthesis and multilingual text-to-speech rendering for paid tiers.
• Supabase: Cloud database hosting, data storage, user authentication, and Row-Level Security infrastructure.
• Razorpay: Secure payment processing, tokenized recurring subscription billing, and tax collection.
• Vercel: Global cloud hosting, serverless edge infrastructure, and performance delivery.

Third-party providers process data solely as necessary to perform their respective technical functions in accordance with industry security standards and our Privacy Policy.

9. User Content & Intellectual Property

• User Content Ownership: You retain ownership of all original text prompts, queries, files, images, and content you submit to BRO (“User Content”).
• Generated Outputs: Subject to applicable intellectual property laws and these Terms, as between you and TheRidCo, you own the creative text and outputs generated by BRO specifically in response to your prompts during your sessions.
• Limited Operational License: By submitting User Content, you grant TheRidCo a worldwide, non-exclusive, royalty-free, limited license to process, transmit, format, and store such content solely for the purpose of operating, maintaining, and providing the BRO service to you.
• Company Intellectual Property: TheRidCo and its licensors retain all proprietary rights, title, and interest in and to BRO, including the software, source code, user interfaces, branding, visual identity, logos, companion personalities, orb rendering, and system prompt architectures. You may not copy, reverse-engineer, decompile, or create derivative works of any part of the service.

10. Acceptable Use & Prohibited Conduct

You agree to use BRO exclusively for lawful purposes and agree not to:

• Violate any applicable local, state, national, or international law, statute, or regulation.
• Generate, upload, or disseminate child sexual abuse material (CSAM), non-consensual intimate imagery, hate speech, unlawful harassment, incitement of violence, or explicit instructions promoting self-harm or suicide.
• Attempt to bypass, disable, probe, or breach subscription tier boundaries, authorization roles, payment mechanisms, or server rate limits.
• Deploy unauthorized automated crawlers, scrapers, bots, or automated extraction tools that impair system responsiveness or harvest system data.
• Use BRO to generate deceptive deepfakes, malicious software, phishing campaigns, or fraudulent financial schemes.
• Misrepresent that AI-generated output from BRO is entirely human-authored in contexts where human verification is legally or ethically mandated.

11. Service Modifications & Account Termination

• Service Changes: We continuously enhance BRO. We reserve the right to modify, update, temporarily pause, or discontinue features, models, voices, or capabilities to optimize performance or adhere to technical, legal, or security requirements.
• Termination by TheRidCo: We may suspend or permanently terminate your access to BRO immediately, without prior notice or liability, if you materially violate these Terms, engage in fraudulent or illegal conduct, or pose a security risk to the platform or other users.
• Termination by You: You may discontinue using BRO at any time and may permanently delete your account and associated data through the in-app privacy controls.

12. Disclaimers & Limitation of Liability

13. Governing Law & Jurisdiction

These Terms and any dispute, controversy, or claim arising out of or in connection with them or your use of BRO shall be governed by, construed, and enforced in accordance with the laws of India, without regard to conflict of law principles.

You irrevocably agree that the competent courts situated in Kolkata, West Bengal, India shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof.

14. Privacy Relationship & Terms Updates

Our collection and processing of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

We reserve the right to update or amend these Terms at our discretion. When revisions are made, we will update the “Last Updated” date at the top of this document. If changes are material, we will provide reasonable advance notice through the service interface or via email. Your continued access to or use of BRO after such amendments become effective constitutes your binding acceptance of the revised Terms.
